Article IV

1.  Election and Terms : The officers shall consist of a President, Vice President, Secretary, and a Treasurer. Officers shall be elected by the Board of Directors at a special meeting called by the outgoing President for the purposes of electing a Vice-President, Secretary and a Treasurer who shall hold office for a term of one year or until duly replaced.

A nominating committee appointed by the outgoing President will present a single slate for officers candidates for mailing to the Board of Directors with notice of special called meetings. Nominations may also be made from the floor, with the nominee's permission.

2.  Removal : Any Board member may be removed at any meeting of the Board of Directors by 2 / 3 vote.

3.  Vacancies : If any office becomes vacant for any reason the vacancy shall be filled by the affirmative vote of a majority of the Board of Directors, except that the Vice President shall automatically succeed to the office of President in the event that office becomes vacant, and shall retain his position as Vice President for the rest of his term.

4.  Duties :

   a.    President: The President shall preside at meeting of the members of the Board of Directors and shall have the responsibility for carrying out the directives of the Board of Directors. The President shall direct the committees in the pursuit of their goals and shall report to the Board of Directors on all Association programs, activities, and transactions. The President, with the approval of the Board of Directors, shall initiate programs and establish goals for the Association.


   b .   Vice President : The Vice President shall perform such duties as are delegated by the President and shall become the President in the event that office becomes vacant. The Vice President shall perform such other duties in addition to those as vice President as may be assigned by the President or the Board of Directors.
